The general terms we work on

Every project has its own contract. The terms below form the basis of that contract.

Please note: This page is for general orientation. The legally binding terms are those in the contract signed with your organisation. Where the two differ, the contract prevails.

Scope and quotation

A written scope document and quotation are issued before work begins. A quotation is normally valid for 30 days. Adding anything outside the scope requires separate written agreement and a revised quotation.

Licence

On a configured deployment you receive a one-off, non-transferable licence to use the software. Ownership of the source code does not transfer. On a custom build engagement, source code and intellectual property transfer is available, with terms and price set out separately in the contract.

Payment

  • Payment is by milestone, with the stages listed in the contract
  • Invoices are payable within the stated period
  • Cloud hosting and support are annual and renewable
  • Applicable VAT and taxes are borne by the client

Delivery and acceptance

After each milestone is delivered you get a defined period to review it. If no written objection arrives in that period the delivery is treated as accepted. Defects in work described in the scope are corrected at no charge.

Warranty and support

The first 90 days after go-live carry warranty support, during which defects in scoped work are fixed at no cost. Support after that falls under an annual agreement. Taking an SLA adds a committed response time.

Client responsibilities

  • Providing necessary information, data and decisions on time
  • Ensuring the team attends training
  • Keeping user accounts and passwords secure
  • Taking responsibility for servers and backups on an on-premise setup

Limitation of liability

We accept no liability for indirect or consequential loss. For any claim, total liability is limited to the amount paid on the relevant project. This limit does not apply to wilful misconduct or gross negligence.

Termination

Either party may end the agreement on 30 days written notice. Work completed to that point is payable. Even on termination your business data is exported to you in full, without conditions.

Governing law

The laws of Bangladesh apply. Disputes are first addressed through discussion; failing that, the courts of Dhaka have jurisdiction.
